COSTA MESA SENIORS GOLF ASSOCIATION BYLAWS


Article I - NAME

The name of this golf club shall be the Costa Mesa Seniors Golf Association.

Article II - PURPOSE

FIRST: To stimulate interest in golf at the Costa Mesa Golf and Country Club by bringing together a group of golfers desirous of forming a golfing organization.

SECOND: To promote and foster among the members a closer bond and fraternity for their joint and mutual benefit, and to promote and conserve the best interests and true spirit of the game of golf as embodied in its ancient and honorable traditions.

THIRD: To encourage conformance to the USGA Rules of Golf by creating a representative authority.

FOURTH: To maintain a uniform system of handicapping as set forth in the USGA Handicap System and issue USGA Handicap Indexes to the members.

FIFTH: To provide an authoritative body to govern and conduct club competitions.

Article III - MEMBERSHIP

Section 1. Persons 55 years of age or older may apply for membership.

Section 2. The Board of Directors may limit the acceptance of new members, if the ability of current members to participate in club events is adversely impacted by limits on tournament participation imposed by the Cost Mesa course management.

Section 2. Memberships in the club are individual and non-transferable.

Section 3. Membership confers no voice in the operation of any golf courses, clubhouses nor any facilities of the courses.

Section 4. Membership confers no special privileges in connection with any golf course.

Section 5. Memberships in the club are valid for a period of 12 months from the date of joining, or from the date of renewal.

Section 6. The fiscal year for the club will be October 1st through September 30th.

Section 7. The Board of Directors may confer honorary memberships upon those whom they feel have contributed to the advancement of golf. The unanimous affirmative vote of the Board shall be required to approve such action.

Section 8. In the event that any member of the club shall commit any act which reflects discredit or disrepute thereon, or shall refuse or neglect to comply with the rules and regulations adopted by the Board of Directors, such member shall be subject to suspension or expulsion after ten days written notice and the right to be heard, by a vote of two-thirds of the Board of Directors at any regular meeting or special meeting called for such purpose.

Section 9. The annual meeting of the Costa Mesa Seniors Golf Association shall be held in the month of September, if possible. The Board of Directors shall provide for the holding of such other meetings as may be deemed necessary or desirable, and they shall call special meetings upon a written petition signed by not less than ten percent of the membership.

Section 10. A legal quorum at any annual or special meeting of members shall be twenty-five members present in person or by proxy. Each active member in good standing shall be entitled to one vote.

Section 13. All membership fees and dues shall be established by the Board of Directors from time to time in such amounts as they deem to be adequate to operate and maintain the club.

Section 14. Members recognize that golfing may cause damage to property or personal injury, and hold the Costa Mesa Seniors Golf Association and it's Directors harmless, should damage or injury occur while participating in a club event.

Article IV - BOARD OF DIRECTORS

Section 1. The Board of Directors shall consist of no less than three, and no more than twelve members in good standing of the Costa Mesa Seniors Golf Association and they shall exercise all powers of management of the club not specifically excepted by these Bylaws.

Section 2. At least six weeks prior to the Annual Meeting, members interested in serving on the Board, will be requested in the club newsletter or email communication to contact any Board member to be included as a nominee.  At least two weeks before the annual election, the list of Board nominees will be published in the club newsletter or email communication.  In the event that multiple candidates exist for a Board position, a written or online ballot will be prepared and published in the club newsletter or email communication.  If written ballots are used, they may then be placed in the club mailbox, mailed to a Board member, or submitted during the Annual Meeting.  If online ballots are used, they may be completed online within a stated filing deadline.  If a Board position is not contested, a member may be elected to the Board by voice vote at the Annual Meeting.  Elected Board members serve a one year term.

Section 3. In the event of a written ballot, those name(s) receiving the greatest number of votes cast shall be elected.  Three club members who are not candidates for the Board will be appointed to count the ballots and announce the results at the Annual Meeting.

Section 4.  Newly elected officers will assume office upon election.  The members of the former Board will complete their assigned duties, such as the newsletter and fiscal year end accounting, until they are assumed by their replacement Board member.

Section 5. The Board of Directors shall meet at such times and places as they may select.  A majority of the Board shall constitute a quorum at any Board meeting.

Section 5. In the case of any vacancy through death, resignation, disqualification or other cause, the remaining directors, even though less than a quorum, may elect a successor by majority vote to hold office for the unexpired term of the director whose place shall be vacant.

Article V - OFFICERS

Section 1. The officers shall consist of President, Vice-President / Secretary, Treasurer, Tournament Director, Assistant Tournament Director(s), Handicap Director, Membership Director, and Communications Director.  Their duties shall be such as their titles would indicate or such as may be assigned to them respectively from time to time.

Section 2. DUTIES OF OFFICERS

President – The President of the club presides at all meetings of the members and the Board of Directors and shall perform such duties as are usually accomplished by an executive officer of a social organization.

Vice-president/Secretary – This officer, as Vice-president, shall perform the duties of the President in his absence or disability, and, as Secretary, shall keep a record of all meetings of members of the club and of the Board of Directors.and perform other duties as are usually accomplished by the Secretary of a social organization.

Treasurer – The Treasurer shall have charge of all funds of the club, which funds shall be kept in a depository authorized by the Board and shall be authorized to disburse funds of the club upon approval of the Board of Directors.  The Treasurer shall submit an annual financial statement at the end of the fiscal year and prepare a budget for the Board's approval at the beginning of each fiscal year.

Tournament Director – The Tournament Director shall be responsible for the conduction of all club competitions.  The Assistant Tournament Director(s) will assist the Tournament Director and act as Tournament Director in the event the Tournament  Director is unable to perform these prescribed duties. 

Handicap Director – The Handicap Director shall establish a fair and proper system of handicaps in accordance with procedures set forth in the USGA Handicap System Manual. 

Membership Director – The Membership Director shall be responsible for distribution of applications for membership, maintenance of records regarding current membership, and, with the help of the Treasurer, verifying the renewal of memberships for the succeeding year.  The Membership Director will also advise new members of club procedures.

Communications Director – The Communications Director shall be responsible for timely publication and posting of the club newsletter, maintenance of the club web-site, and communication, as needed, to members regarding club events

Article VI - AMENDMENTS TO BY-LAWS

Section 1. The Board of Directors may amend these Bylaws.  Amendments which affect the rights of club members shall not be effective until approved by a majority vote of the members.
